The client

Oldham Council required specialist commercial property and telecoms expertise to support the redevelopment of a former educational site within the borough. The site included land and buildings previously known as Saddleworth School, part of which was occupied by telecommunications equipment operated by Vodafone Limited.

The brief

The Council sought specialist advice to negotiate the early surrender of Vodafone Limited’s tenancy, enabling vacant possession of the areas occupied by telecoms apparatus. This was a critical step in allowing the buildings to be demolished and the wider site opened up for redevelopment. The key objective was to achieve certainty of possession within a defined timeframe. This would allow the Council to progress its development programme without undue delay or unmanageable cost.

The challenge

The matter was complicated by the tenant’s extensive statutory rights under the Landlord and Tenant Act 1954. This allowed Vodafone to remain in occupation beyond the contractual terms of the lease. In addition, the lease break clause was open to interpretation, creating uncertainty around the Council’s legal position.

Vodafone’s initial stance was that any early surrender should be conditional upon Oldham Council funding the acquisition, design, and construction of a replacement cell site. Estimated costs were in the region of £200,000. This presented a significant financial and programme risk to the redevelopment.

Our approach

Oldham Council appointed Loxley Maynard to provide independent, specialist advice and to lead negotiations on the Council’s behalf. Our approach focused on a detailed assessment of the lease terms, statutory protections and the commercial realities facing both parties.

By combining technical telecoms knowledge with a clear understanding of redevelopment objectives, we were able to challenge Vodafone’s position robustly while maintaining a constructive dialogue. This ensured negotiations remained commercially focused and proportionate to the risks involved.

The outcome

Our team successfully negotiated a deal with Vodafone to secure vacant possession via the payment of a relatively small premium. Thus, we avoided the need for the Council to fund a replacement site. This outcome delivered a substantial cost saving when compared with Vodafone’s original request. Crucially, it also provided the Council with certainty of possession.

As a result, the Council was able to programme the next phase of its development scheme with confidence and proceed with the appointment of contractors.
